From: Pat Shanahan

Subject: Airplane Programs Leadership Changes

***This message is being sent from Pat Shanahan, Airplane Programs vice president and general manager, to all Airplane Programs employees.***

Airplane Programs Leadership Changes

Teammates,

Boeing Commercial Airplanes has had a great first half in 2010 with terrific operational and financial performance. We should all be proud of that achievement.

The second half of the year presents us with a new set of challenges which we will face head-on and deal with appropriately. Foremost is our effort to get the 787 and 747-8 Freighter certified and delivered. Final assembly is underway on the 747-8 Intercontinental, the 767 program is transforming its production system, and we continue our work to implement the 777 and 737 rate increases.

In an effort to align resources, I am making some personnel changes to achieve our development milestones. Beginning Monday, in addition to my current responsibilities, I will take on a greater role overseeing the

747 program as we continue flight test and work toward certification and delivery of the 747-8 Freighter. I will also continue to ensure that we are ready for increased rates on the 737, 767, 777 and 787, and execute on our future development commitments.

Mo Yahyavi will take on a special assignment. Mo has been instrumental in getting the 747-8 Freighter built and into the flight test program, while at the same time overseeing the design of the 747-8 Intercontinental.

Elizabeth Lund, who has been the vice president and general manager of the 767 program, will join the 747 program as deputy program manager, reporting to me. Elizabeth has done an excellent job leading the transformation of 767 final assembly operations, overseeing the move to the 40-32 bldg, as well as supporting our effort to win the NewGen Tanker contract.

Kim Pastega will replace Elizabeth as the vice president and general manager of the 767 program, reporting to me. Kim possesses a diverse engineering and production background. Her working knowledge of design and manufacturing processes, coupled with strong leadership skills, qualify her to lead the program as it transitions its operations.

Jason Clark, who has been the leader of the 747-8 Interiors team, will succeed Kim as the director of 777 Manufacturing, reporting to Larry Loftis. He will oversee the assembly of the 777 family and help lead the program through its planned rate increase next year. Jason's successor will be named at a later date.

These changes add greater focus at a critical time for the 747, 767 and

777 programs. I know our team will fully engage and will do what is needed to help during this transition. Your efforts, focus and commitment are greatly appreciated.

Thank you for all of your hard work and dedication — we have a fantastic team!

Pat
